Gregory D. Evans Lies About Board Member

On April 5, 2010, LIGATT issued a press release announcing the appointment of a new board of director member. The article gives background and information on Keith Flannigan, saying the appointment was "effective immediately". It further quotes Flannigan as saying "It is with great honor that I accept a position on your Board of Directors".

Despite the press release, what Evans failed to mention is that Flannigan's acceptance of the position was contingent upon being compensated for his service. LIGATT and Evans never came through with their side of the agreement and never provided the compensation promised to Flannigan. As a result, Flannigan considered the agreement null and void and never provided any direction, never occupied the board seat and never performed any service for LIGATT.

Evans and LIGATT did not remove the press release from their own site, instead continuing to let the inaccurate information stand. By not removing the press release or making good on their promise to Flannigan, Evans has lied about the Board of Director position.

Hello,

This is Keith Flannigan Director of USGMI and it has been brought to my
attention some of the recent articles on your website and the posts on your
twitter page, so I wanted to write you for some clarification on certain
things.

1. I am not nor have I ever been a member of the Ligatt Board of Directors.

2. I have not ever done any work with or for Ligatt Security.

3. Avery Mitchell was involved at Ligatt Security for a couple of months and
has no involvement in that firm at all.

To clear up the Board of Directors situation-I have met Gregory Evans a
total of three times in my life, he asked me could I sit on the Board of
Directors for his firm as I am asked that many times during the year by
various companies.

Gregory Evans stated that I would be compensated for sitting on the Board
and giving advice on the security field, an agreement was drawn up between
him and I, but I never received any compensation from him for this board
position and consider any agreement between him and I null and void.

I have never attended a board meeting with Gregory Evans or anyone with
Ligatt Security.

Avery Mitchell who works with me at USGMI, was involved at Ligatt less than
3 months and has no involvement with the firm at all.

I hope this clarifies a couple of misconceptions out there.

It appears they removed you from the 'about us' page, but you are still
prominantly listed on their site in the PR area:

It sure does. May I publish this mail on the Errata page to further
expose Evans?

When we met for the second time of meeting him three times, I did agree to
be on the board, and allowed Avery Mitchell who was involved with Ligatt at
that time, to give them information about me to use for a press release.

Yet as I stated earlier, I never received any compensation as agreed upon
between us for me to be on the board, which makes any agreement null and
void, with Mr. Mitchell no longer being involved with the firm,  I have not
had any contacts with anyone involving that firm in months.

Once again I have never ever attended any board meeting or any company
meeting ever.
